R Systems Announcement for Resolutions Passed through Circulation

The Board of Directors of R Systems International Limited by passing resolutions through circulation on June 29, 2016 has inter alia approved the following:

1. Appointment of Mr. Aditya Wadhwa (DIN: 07556408) as Additional Director (Non-executive Independent Director) of the Company to hold office upto the next Annual General Meeting of the Company.
2. Appointment of Mr. Kapil Dhameja (DIN: 02889310) as Additional Director (Non-executive Independent Director) of the Company to hold office upto the next Annual General Meeting of the Company.
3. Designated Mrs. Ruchica Gupta (DIN: 06912329) as Non- Executive Independent Director of the Company.
