R Systems Announces its Results for the Quarter and half year ended June 30, 2016

The Board of directors of R Systems International Limited at its meeting held on July 29, 2016 has inter alia approved the following businesses:

1. Audited standalone financial results for the quarter and half year ended June 30, 2016.
2. Unaudited consolidated financial results for the quarter and half year ended June 30, 2016.
3. Remuneration of Mr. Satinder Singh Rekhi, Managing Director of the Company pursuant to the provisions of the Companies Act, 2013 for the period from April 01, 2017 to December 31, 2018.
4. Notice for passing of resolutions through Postal Ballot seeking approval of the shareholders pursuant to Section 110 of the Companies Act, 2013 read with the Companies (Management & Administration) Rules, 2014 for the approval of remuneration of Mr. Satinder Singh Rekhi as Managing Director of the Company and appointment of Mrs. Ruchica Gupta as Independent Director of the Company.
5. Appointment of Mr. Sanjay Grover, Practicing Company Secretary as Scrutinizer for conducting the postal ballot process.
6. Appointment of Mr. Aditya Wadhwa as member of Audit Committee of the Board.
