R Systems Announces its Results for the Quarter & Financial Year ended December 31, 2018

The Board of directors of R Systems International Limited at its meeting held on February 08, 2019 has inter alia transacted the following businesses:

1. Approved the audited standalone financial results of the Company for the quarter and financial year ended December 31, 2018.
2. Approved the audited consolidated financial results of the Company for the quarter and financial year ended December 31, 2018.
3. Approved the appointment of Chandrasekaran Associates, Company Secretaries, as Secretarial Auditors pursuant to Section 204(1) of the Companies Act, 2013, Rule 9 of the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014 and other applicable provisions of the Companies Act, 2013 for financial year ended December 31, 2018.
4. Approved the appointment of Mrs. Ruchica Gupta, Non-Executive Independent Director of R Systems International Limited as the Director of R Systems Inc. USA, wholly owned material subsidiary of the Company, w.e.f. April 01, 2019 pursuant to Regulation 24 (1) of the Listing Regulations, as amended.
