This is to inform you that the Board of Directors of the R Systems International Limited (the “Company”), by resolution passed through circulation on November 19, 2022, have appointed M/s. PI & Associates, Practicing Company Secretaries, (Firm Registration No.: P2014UP035400), a peer review Company Secretary, for carrying out due-diligence as required under Regulation 10 and other applicable provisions of the SEBI Delisting Regulations, in relation to the Public Announcement made by the Kotak Mahindra Capital Company Limited, manager to offer, on behalf of BCP Asia II Topco II Pte. Ltd. (“Acquirer”) along with Blackstone Capital Partners Asia II L.P (“PAC”) regarding the conditional offer made by the Acquirer along with PAC for acquisition of up to 5,71,73,476 fully paid-up equity shares of face value of INR 1 /- each of the Company from all the Public Shareholders of the Company and expressing their intention to delist the Company pursuant to this Offer.
